Minimum Advertised Pricing Policy

Hammerhead Industries, Inc. (“Hammerhead”) actively supports the advertising and

promotion of its products by its dealer stores, online retailers and various sales

representatives. Hammerhead enforces a Minimum Advertised Price (“MAP”) policy on

its products to protect the strong reputation of its brand and to ensure customers are

provided with high quality products. Hammerhead further enforces this MAP policy to

preserve its dealers’ ability to compete without having their prices undercut.

Please note that this document must be signed in order to receive any future orders from

Hammerhead.

Hammerhead’s MAP Policy is as follows:

1) MAP pricing is established by Hammerhead and may be adjusted by Hammerhead at

its sole discretion.

2) The MAP applies only to advertised prices and does not apply to the price at which

the products are actually sold. Hammerhead’s dealers and sales representatives are

allowed to sell for any price they choose within their retail location.

3) The MAP policy is not applicable to any in-store advertising that is displayed only

in the store and not distributed to any customer(s).

4) The MAP policy does otherwise apply to all advertisements of Hammerhead’s

products on the Hammerhead MAP price list at the end of this document in any and all

media, including, but not limited to, flyers, posters, coupons, mailers, inserts, newspapers,

magazines, catalogs, mail order catalogs, email newsletters, email solicitations, internet

or similar electronic media, television, radio, and public signage.

5) The MAP does not establish maximum advertised prices. All dealers, distributors

and sales representatives may advertise Hammerhead’s products at any price in excess

of the MAP.

6) Reseller agrees to hold all trademarks of Hammerhead as the property of

Hammerhead and use advertising materials provided by Hammerhead in an authorized

manner only.

7) Intentional or repeated failure to abide by this policy will result in termination of

distributorship. It is Hammerhead’s sole discretion whether or not to provide prior notice

or issue warnings before taking any action under this policy. Hammerhead does not

intend to do business with dealers or sales representatives who degrade the image of

Hammerhead MAP Product and Price List

Hammerhead’s MAP policy outlined above applies to all products. Map pricing is

the products MSRP. The MSRP can be found on product literature and Dealer price

sheets. The corresponding prices reflect the minimum price that each of the respective

products can be advertised at.

Acknowledgement of Policy

This MAP policy has been established by Hammerhead to help ensure Hammerhead’s

standards as a top producer of high quality products and to protect the reputation of its

name and products. The MAP policy is also designed to ensure dealers and sales

representatives have the incentive to invest resources into services for Hammerhead’s

customers. Please indicate your understanding of this policy and your willingness to

abide by its terms and conditions by signing and listing the name of your company below.

Sales representatives of Hammerhead products shall supply a copy of the Hammerhead

MAP policy to any new or existing reseller to be filled out, acknowledged and returned to

Hammerhead. This form shall be signed and returned to Hammerhead and in doing so,

will bind the reseller to abide by the requirements spelled out in this document.
