Authorized Reseller Policy

Authorized Hammerhead Industries, Inc. (“Hammerhead”) dealers and distributors (collectively

“resellers”) who wish to sell Hammerhead products are required to follow these guidelines in

addition to all other existing Hammerhead policies.

Product Distribution

All Hammerhead authorized resellers must meet the following minimum requirements with regard

to product distribution:

1) Reseller agrees to not sell Hammerhead products via non-authorized online dealers, for

example, Amazon, Wallmart,eBay…etc, without the express written consent of Hammerhead.

Hammerhead may approve the above as FBV or as a 3rd party drop ship if the product offering is

within the resellers knowledge base and must adhere to MAP requirements. There will be no FBA

selling through Amazon.

2) Sales to third parties known to resell products and which do not follow Hammerhead’s existing

policies, including Hammerhead’s Authorized Reseller Policy and Minimum Advertised Pricing

Policy, are expressly forbidden.

3) Distributors will be responsible for their customers to abide by the Authorized Reseller Policy,

and Minimum Advertised Pricing Policy.

Brand & Visual Standards for Promotional Use

Hammerhead authorized resellers are expected to maintain their commercial material and

commercial websites in a manner that is consistent with that of a premium retailer and meet the

following minimum requirements:

1) The reseller’s promotional material must clearly designate reseller as an authorized reseller of

Hammerhead products.

2) An authorized Hammerhead representative must approve any promotional materials that use

Hammerhead imagery that has been altered in any manner. Resellers are welcome to use their

own unique product identifiers; however, the product must be clearly identified as a Hammerhead

product.

3) The resellers materials must ensure customers are aware of all sales terms and conditions,

including but not limited to any Hammerhead warranty, refund and return policies.

4) All affiliate marketing programs in connection with Hammerhead products are subject to

Hammerhead’s brand standards. Violations by third party affiliates may result in suspension or

termination of a reseller’s account.

Customer Service

Hammerhead expects all authorized resellers to provide the highest level of service to their

customers and all resellers must meet the following minimum requirements with regard to

customer service:

1) Provide easy access to all customer service contact information, including telephone numbers,

physical addresses, e-mail addresses, hours of operation and shipping and return policies.

2) Display and maintain reasonable customer service hours of operation.

3) Possess adequate knowledge of Hammerhead products.

4) Refrain from any deceptive practices, for example, bait and switch tactics or misrepresentation

of product features, consumer benefits or operational characteristics.

Acknowledgement of Policy

I acknowledge that I will not sell 3rd party on line websites such as Amazon, Ebay, Walmart

without expressed written consent and approval by Hammerhead Industries, Inc.

Further, I am already selling Gear Keeper products on Amazon, Ebay, Walmart and will

cease immediately until further approval and will email info@gearkeeper.com with product

names, websites and links.
